End User Licence Agreement of Joinwork Process Studio 3 - 30-Day Trial Version

Important Notice
This End User License Agreement ("EULA") is a legal agreement between YOU as Licensee and Joinwork Software Inc. ("Joinwork") for the TRIAL product identified above ("the TRIAL"). By installing, downloading, copying, or otherwise using the TRIAL, YOU agree to be bound by the terms of this EULA. If YOU do not agree to the terms of this EULA, promptly return the unused TRIAL or delete any copies of this TRIAL in your possession. The copyright in the TRIAL and its documentation is owned by Joinwork. Subject to the terms of this EULA, YOU are granted a non-exclusive right for the duration of the EULA to use the TRIAL. YOU do not acquire ownership of copyright or other intellectual property rights in any part of the TRIAL by virtue of this EULA. Your use of this TRIAL indicates your acceptance of this EULA and warranty.
 
License Grant
Joinwork Software Inc.("Joinwork") grants you a non-exclusive license to test this TRIAL in 30-Day Trial version, and any associated documentation, as indicated herein.
You may: (a) install and use the TRIAL for evaluation purpose only during 30 days after the installation; (b) create diagrams using the TRIAL and save them for evaluation purpose only; (c) Redistribute the TRIAL by any mean (CDROM, Cover Disc, Web site...) as long as you do not change the original package and distribute only the original install package (see "distribution").

Restrictions
You may not: (a) use the TRIAL after the evaluation period of 30 days; (b) use the diagrams created with the TRIAL (except for test purpose or if you purchased the full version); (c) sell this TRIAL package (except for shipment and handling charges); (d) cause or permit reverse engineering, disassembly, decompilation or alteration of this TRIAL; (e) remove any product identification, copyright notices, or other notices or proprietary restrictions from this TRIAL; (f) copy the documentation accompanying the TRIAL.

Distribution of the TRIAL Version
You are hereby licensed to make as many copies of the TRIAL as you wish and distribute it to anyone provided that all files are intact. You must distribute the install form of the TRIAL (you must distribute the INSTALL file, not the files resulting of an installation). You are not allowed to sell the TRIAL (except for shipment and handling charges). Press is authorized to distribute it on any Cover Disk, CD-ROM without permission from Joinwork. Shareware Catalog Web sites are authorized to distribute it as a download file (hosted or linked to Joinwork site) without permission from Joinwork.

Support and Maintenance
Joinwork provides support on the TRIAL by mean of online help, documentation, tutorials, knowledge-base and all other article freely accessible on Joinwork websites. Email-based support is provided on Joinwork website for licensees of the full version of the product.
During use of the TRIAL you may also report any TRIAL problem to Joinwork. If Joinwork determines that a reported reproducible error in the TRIAL exists and significantly impairs the usability and utility of the TRIAL, Joinwork agrees to use reasonable commercial efforts to correct or provide a usable work-around solution in an upcoming maintenance release or update, which is made available at certain times at Joinwork’s sole discretion.

Term
This License is effective until terminated. You may terminate it at any time by destroying the TRIAL, together with all copies thereof. This License will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy the TRIAL, together with all copies thereof.

Copyright - Ownership
This TRIAL and its source code are proprietary products of Joinwork and are protected by copyright and other intellectual property laws. The TRIAL is licensed and not sold. You acquire only the right to use the TRIAL and do not acquire any rights, express or implied, in the TRIAL other than those specified in this License. Interaction or inclusion of parts of the TRIAL in third-party products does not mean that the TRIAL, or any portion of it, is part of these products nor property of the companies owning these products.
 
Disclaimer of Warranties
Joinwork does not warrant that: (a) the operation of the trial will be uninterrupted or error-free or that functions contained in the trial will operate in combinations of trial or hardware that may be selected for use by you; (b) the trial will meet your requirements or expectations; or (c) any results, output, or data generated by the trial will be functional, complete or reliable. Except as expressly stated in this section, to the maximum extent permitted by law, Joinwork specifically disclaims all other warranties, express or implied, oral or written, relating to this agreement and the trial and any services provided to you, including without limitation, any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement of third party rights.
 
Disclaimer of Damages
The liability of Joinwork under this agreement, regardless of the basis of liability or the form of action, will not exceed the fees paid to Joinwork for the portion of the trial or services causing the liability. In no event will Joinwork be liable for any indirect, special, incidental or consequential damages, however caused, whether for breach of contract, negligence or otherwise, and regardless of whether Joinwork has been advised of the possibility of those damages, including without limitation, the use or inability to use the trial, or any results obtained from or through the trial.
 
Governing Law - Jurisdiction
This Agreement shall be construed, interpreted, and applied in accordance with the International Law and the PRC Law. The Courts of Shanghai, PRC shall be the exclusive forum and venue to resolve any and all disputes arising out of or relating to this Agreement.
